Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Sozo Diaspora portal operated by Sozo Consulting PLC (“Sozo”, “we”, “us”, or “our”) at https://diaspora.sozoconsult.com (the “Portal”), and the diaspora representation services offered through it.

By creating an account, signing in, or using the Portal, you agree to these Terms. If you do not agree, do not create an account or use the Portal.

Power of Attorney engagements are also subject to the separate Power of Attorney Terms & Conditions presented before payment of the POA engagement fee. Service-specific instructions and fees shown in the Portal form part of your agreement for those services.

1. About the Portal

Sozo Diaspora is an online platform that allows eligible clients to register, grant and track Power of Attorney workflows (including Digital MOFA / embassy-related coordination and Ethiopia registration steps as applicable), request on-the-ground services in Ethiopia (such as sales, gifts, representations, and rent-related matters), communicate with Sozo staff, upload documents, and track case progress. Staff and administrators use the Portal to manage client matters.

2. Eligibility and accounts

You must be legally capable of entering binding agreements under applicable law. You agree to provide accurate registration information (including name, email, phone, and country context) and to keep your credentials confidential. You are responsible for activity under your account. Notify us promptly of any unauthorised use. We may refuse, suspend, or terminate accounts that appear fraudulent, abusive, inaccurate, or unlawful.

3. Nature of services

Sozo provides coordination and representation services as described in the Portal for diaspora-related matters in Ethiopia. Unless expressly stated in writing:

  • We do not guarantee outcomes controlled by third parties (including embassies, MOFA, government offices, banks, courts, counterparties, or registries).
  • Timelines depend on third-party processing, document completeness, and your timely responses.
  • Portal status labels are operational updates, not legal opinions or warranties of result.
  • Where a service requires a completed Power of Attorney covering that service, you may not unlock or submit that request until coverage requirements are met.

4. Client responsibilities

You agree to:

  • Provide truthful identity, contact, property, and case information.
  • Upload only documents you are authorised to share and that are needed for your matter.
  • Respond promptly to staff requests and keep contact details current.
  • Use the Portal only for lawful purposes and in accordance with these Terms.
  • Review POA rights selections carefully before payment and submission.
  • Remain responsible for acts performed under a registered power of attorney granted for your benefit, subject to applicable law and the POA terms you accept.

5. Fees, payments, and refunds

Fees for Power of Attorney engagement and individual service requests are displayed in the Portal before payment. Payments are processed through the payment methods made available in the Portal. POA engagement fees and service fees are generally non-refundable once work has commenced or third-party costs have been incurred, except where required by applicable law or expressly agreed in writing by Sozo. Chargebacks or payment disputes may result in suspension of services until resolved.

6. Communications and documents

The Portal’s messaging and upload features are provided so you and Sozo can exchange instructions and files related to your matters. Do not use chat for emergencies. Keep copies of important documents. We may retain messages and files as part of your case record. Uploaded files must comply with the Portal’s requirements and must not contain malware or unlawful content.

7. Acceptable use

You must not:

  • Attempt to access another user’s account, staff tools, or non-public areas without authorisation.
  • Interfere with, disrupt, or attempt to compromise the Portal or related systems.
  • Upload unlawful, infringing, deceptive, or harmful content.
  • Misrepresent your identity or authority.
  • Use the Portal to facilitate fraud, money laundering, or other illegal activity.
  • Attempt to bypass or undermine the Portal’s security or access controls.

8. Intellectual property

The Portal, including its design, software, text, logos, and branding (including Sozo Diaspora and Sozo marks), is owned by Sozo Consulting PLC or its licensors. You receive a limited, revocable, non-exclusive right to use the Portal for its intended purpose. You may not copy, modify, reverse engineer, or exploit the Portal except as allowed by law. You retain ownership of documents you upload, and you grant Sozo a licence to use them as needed to provide the services.

9. Privacy

Our collection and use of personal data is described in the Privacy Policy (version aligned with these Terms). By creating an account you also acknowledge that Policy. Additional confidentiality and data-sharing terms apply under the Power of Attorney Terms & Conditions when you begin a POA engagement.

10. Third-party services

The Portal may rely on trusted third-party infrastructure and processors to help deliver hosting, communications, payments, and related support. Third-party websites or offices we coordinate with for your matters have their own terms and practices. Sozo is not responsible for third-party systems outside our reasonable control.

11. Disclaimers

The Portal and services are provided on an “as available” basis. To the fullest extent permitted by law, we disclaim warranties not expressly stated in these Terms or in a separate written engagement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation of the Portal.

12. Limitation of liability

To the fullest extent permitted by law, Sozo’s total liability arising out of or relating to the Portal or a particular paid matter is limited to the fees you paid to Sozo for that matter (for example the POA engagement fee or the relevant service-request fee). We are not liable for indirect, incidental, special, consequential, or punitive damages; lost profits; or losses caused by third-party delays, refusals, outages, force majeure, or your failure to provide accurate information or documents. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum extent permitted.

13. Suspension and termination

You may stop using the Portal at any time. We may suspend or terminate access for breach of these Terms, non-payment, suspected fraud, legal risk, or to protect the Portal and other users. Provisions that by nature should survive (including fees owed, intellectual property, disclaimers, limitations of liability, and governing law) will survive termination. Case records may be retained as described in the Privacy Policy.

14. Changes to the Portal or Terms

We may update the Portal and these Terms. The version identifier (2026-08-12.1) and “Last updated” date will change when Terms are revised. If you continue using the Portal after changes take effect, you accept the revised Terms, except where additional consent is required (for example when creating a new account or accepting updated terms we specifically present).

15. Governing law and disputes

These Terms are governed by the laws applicable to Sozo Consulting PLC’s operations in Ethiopia, without regard to conflict-of-law rules. Before formal proceedings, contact us in good faith at diaspora@sozoconsult.com so we can try to resolve the dispute. Nothing in these Terms limits rights that cannot be waived under mandatory applicable law.
